These Terms of Service (“Terms”) govern your use of the website matrixgrowth.in and all services provided by Matrix Growth (“we”, “our”, or “us”). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our site or services.

1. Services

Matrix Growth provides web design, web development, SEO, social media marketing, and related digital services. The scope, deliverables, timelines, and pricing for any specific engagement will be outlined in a separate Service Agreement or Project Proposal provided to you before work begins.

2. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information required to deliver the project
  • Supply all necessary content (text, images, logos, branding) within agreed timelines
  • Provide timely feedback and approvals to avoid project delays
  • Ensure that any materials you provide do not infringe third-party intellectual property rights
  • Make payments as per the agreed payment schedule

3. Payment Terms

  • A minimum advance payment (as specified in the project proposal) is required before work commences.
  • Final deliverables will be handed over only upon receipt of full and final payment.
  • Payments are non-refundable once work has been initiated, unless otherwise agreed in writing.
  • Late payments may attract a delay fee or result in pausing of project work.

4. Intellectual Property

Upon receipt of full payment, all custom design and development work created specifically for you will be transferred to you. However:

  • Matrix Growth retains the right to display the completed project in our portfolio.
  • Any third-party assets (fonts, stock images, plugins, themes) remain subject to their respective licences.
  • We retain all intellectual property rights to our proprietary tools, processes, and methodologies.

5. Project Revisions

Each project includes a defined number of revision rounds as specified in the project proposal. Revisions beyond the agreed scope may be subject to additional charges. Requests for major scope changes after project commencement will be treated as a new scope and will be quoted separately.

6. Timelines & Delays

We commit to delivering projects within agreed timelines. However, delays caused by late content submission, delayed client feedback, or changes in project scope by the client will extend the delivery date accordingly. Matrix Growth will not be held liable for delays outside our reasonable control.

7. Confidentiality

Both parties agree to keep all non-public information shared during the project confidential. We will not disclose your business information, strategies, or data to third parties without your written consent, except as required by law.

8. Limitation of Liability

Matrix Growth shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. Our total liability in any circumstance shall not exceed the amount paid by you for the specific service in question. We do not guarantee specific business results (e.g., rankings, leads, sales) from our services.

9. Termination

Either party may terminate a project engagement by providing written notice. Upon termination, you will be invoiced for all work completed up to the date of termination, and any non-refundable advance payments will be retained by Matrix Growth. Deliverables will be released only after outstanding payments are cleared.

10. Website Use

By using our website, you agree not to:

  • Use the site for any unlawful purpose
  • Attempt to gain unauthorised access to any part of our systems
  • Upload or transmit any harmful, offensive, or malicious content
  • Reproduce or distribute our website content without prior written permission

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in India.

12. Changes to These Terms

We reserve the right to update these Terms at any time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms.
